Welcome to BlueNest AI. These Terms of Service ("Terms") govern your access to and use of the BlueNest AI platform, services, and website. By accessing or using BlueNest AI, you agree to be bound by these Terms.

Acceptance of Terms

By accessing or using our platform, you agree to these Terms. If you do not agree to these Terms, you may not access or use our platform.

Account Registration

To use certain features of our platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

License and Restrictions

• Use our platform in any way that violates any applicable law or regulation
• Use our platform to transmit any material that is defamatory, offensive, or otherwise objectionable

User Content

Our platform allows you to upload, submit, or transmit content such as property information, images, and data ("User Content"). You retain all rights in your User Content, and you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such User Content solely for the purpose of providing and improving our platform and services.

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate the privacy, publicity, copyright, or other rights of any person
• Your User Content does not contain any material that is defamatory, obscene, or otherwise unlawful

AI Analysis and Model Training

When you upload real estate data for analysis, our AI systems process this information to provide insights and analytics. You understand and agree that:

• Our AI may use anonymized and aggregated data derived from your User Content to improve its algorithms and accuracy
• The analysis and insights provided are algorithmic in nature and should not replace professional judgment
• You will not use our platform's analysis as the sole basis for significant real estate decisions without professional verification

Payment Terms

Certain features of our platform require payment. By choosing a paid subscription, you agree to pay all fees in accordance with the pricing and terms displayed to you. All fees are exclusive of taxes, which are your responsibility. Fees are non-refundable except as required by law or as expressly stated in these Terms.

We may change our fees at any time. If we increase the fees for your subscription, we will provide notice through the platform or by email. Your continued use of the platform after the fee change becomes effective constitutes your agreement to pay the updated fees.

Termination

We may terminate or suspend your access to our platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our platform will cease immediately. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimers

OUR PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our platform will be uninterrupted or error-free, that defects will be corrected, or that our platform or the servers that make it available are free of viruses or other harmful components. We make no warranties or representations about the accuracy, reliability, completeness, or timeliness of the content, services, software, text, graphics, links, or communications provided on or through our platform.

Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) OUR PLATFORM, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL OUR AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS RELATING TO THESE TERMS OR OUR PLATFORM EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless BlueNest AI and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to (a) your use of our platform, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any rights of another person or entity.

Governing Law and Jurisdiction

These Terms and your use of our platform shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising out of or relating to these Terms or your use of our platform shall be brought exclusively in the federal or state courts located in San Francisco, California, and you consent to the personal jurisdiction of such courts.

Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will notify you through the platform or by sending you an email. Your continued use of our platform after the effective date of the revised Terms constitutes your acceptance of the revised Terms.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and BlueNest AI regarding your use of our platform and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and BlueNest AI regarding your use of our platform.
